1. ELIGIBILITY: To be eligible for entry in the "Tori Kelly Instagram Fan Lyric Video Promotion" sponsored by Universal Music Group/UMG ("The Sponsor"), you must submit your photos or video through Instagram. To upload your photos or videos via these social media websites, you must be a registered user. Registration is free and can be obtained by downloading the phone app or going to the website. Follow the onscreen instructions to register. NOTE THAT INSTAGRAM IS NOT A SPONSOR OF THIS COMPETITION, AND THUS HAS NO RESPONSIBILITY OR LIABILITY REGARDING THE CONDUCT OR ADMINISTRATION OF THE COMPETITION. IN ORDER TO USE INSTAGRAM, YOU MUST AGREE TO THEIR INSTAGRAM TERMS AND CONDITIONS OF USE.

2. HOW TO SUBMIT: Post your photo or video on Instagram with the hashtag #DearNoOneLyrics ("Submission") between 12:00am CST on September 1, 2013 and 11:50pm CST on September 16, 2013 (the "Entry Period"). By submitting material you are accepting these Terms and Conditions. The right to consider any particular Submission is in the sole discretion of the Sponsor.

3. SUBMISSION REQUIREMENTS: You must be 13 years of age or older to submit a video or photo and all submissions under 18 requires parental permission. By submitting the Submission, you represent and warrant that you are the creator of the video or photo, and that you have the authority to grant the permission and rights granted herein, and that no other permission is required to grant such rights. The Sponsor owns in perpetuity the right to share submitted videos and photos on the web and on social media platforms.

4. GENERAL CONTENT RESTRICTIONS: Photos and videos must NOT contain material which is sexually explicit, obscene, pornographic, violent, (e.g., relating to murder, the sales of weapons, cruelty, abuse, etc.), discriminatory (based on race, sex, religion, national origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, or harassing. Your photos and videos must NOT visually include any copyrighted media production including but not limited to any existing music, films, books, television programming, logos, etc., or identifying descriptions of any media property. Your photos and videos must NOT contain derogatory references to the Sponsor or any third party.

5. LIABILITY: The Sponsor shall not be responsible for incorrect or inaccurate Submission information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the contest or by any technical or human error or any other intentional, casual, or inadvertent misconduct, which may occur in the processing of the Submission.Sponsor assumes no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of responses. The use of any device to automate the Submission process is prohibited.

6. LICENSE: You shall retain all ownership rights in your Submission. However, by submitting the Submission, you hereby grant to the Sponsor in perpetuity, a universal, non-exclusive, royalty-free, sub-licensable and transferable license to use, distribute, and otherwise exploit all or any portion of the Submission for any purpose whatsoever, including, without limitation, in connection with the campaign, including, without limitation, promotion and redistributing part or all of the Submissions via web and social media outlets.

7. SELECTION PROCESS: Sponsor will select the Submissions for inclusion of the Lyric/Music Video. The Sponsor reserves the right to determine in their sole discretion which Submissions have satisfied the entry requirements. YOU MUST SUBMIT IN ACCORDANCE WITH THESE TERMS AND CONDITIONS. NO OTHER METHOD OF SUBMISSION WILL BE ACCEPTED.
